How to choose a PEO: credentials, questions and red flags

To choose a PEO, check three credentials first: IRS certification (CPEO), your state's license or registration, and ESAC accreditation, then compare written quotes and exit terms side by side. Published PEO fees run $79 to $125 per employee per month (Justworks, Remote and Deel, pricing pages checked October 16, 2026), and most other PEOs quote only, so the written fee breakdown is the first document to ask for.

A PEO (professional employer organization) becomes the co-employer of your US staff: it pays them under its tax accounts and puts them on its benefit plans. That makes the contract, the tax status and the exit terms matter more than the sales pitch.

A professional employer organization (PEO) is a company that co-employs your US staff, paying wages and payroll taxes under its own accounts and offering its benefit plans and usually its workers' comp policy, while you keep directing the work.

The short checklist

  1. Get the legal name and EIN of the entity that will sign your contract.
  2. Check that entity on the IRS CPEO lists, your state license or registration list, and ESAC's finder.
  3. Send every PEO the same census (headcount, salaries, states, job classes) and ask for an unbundled quote.
  4. Get the health plans, carriers and renewal history for clients your size.
  5. Ask whose SUTA (state unemployment) account your wages will report under.
  6. Read the term, notice and exit fee clauses before comparing prices.
  7. Plan the exit now: 401(k) transfer, health coverage and access to W-2s and payroll history.

Check certification, licensing and accreditation

Only one of these three labels changes who owes your federal payroll taxes.

IRS certification

Certification is voluntary: 11 of the 16 PEOs we review have an entity on the IRS active list (report date August 7, 2026). A CPEO posts a bond of the greater of 5% of prior-year employment tax liability (capped at $1,000,000) or $50,000, and at least 85% of your people at a work site must be under CPEO contracts. With a non-certified PEO you generally stay liable for your employment taxes even though the PEO files them. Brands often certify under a different entity name; our list of IRS-certified PEOs matches them, and certified vs non-certified PEO shows the mid-year math.

State license or registration

  • Texas: a TDLR license, even for one Texas employee (PEOs in Texas).
  • Florida: a DBPR employee leasing company license (PEOs in Florida).
  • New York: yearly Department of Labor registration or exemption; 387 PEOs were registered as of October 1, 2026.
  • Michigan: a LARA license, renewed by August 31. Illinois: ELC-1 registration with the Department of Insurance.
  • Washington: no license, but the PEO and each client register with the Employment Security Department.

ESAC accreditation

ESAC's standards (read October 18, 2026) require adjusted net worth of the greater of $100,000 or 5% of adjusted liabilities, an annual independent CPA audit, a quarterly CPA confirmation that wages, taxes and premiums were paid, and a surety bond of the greater of $250,000 or 5% of prior-year employment tax liability, capped at $1,000,000. Questions to ask before you sign

PEO questions and why each one matters
AskWhy it matters
Is the fee per employee or a percent of payroll?ADP puts the industry at 2% to 12% of payroll or about $40 to $160 per employee per month. A percentage rises with every raise.
What does the per-employee fee cover?Justworks PEO Basic ($79) and Plus ($124) differ by health plan administration. Ask what is extra.
Which health plans and carriers, in our states? One ADP TotalSource reviewer said plans were limited to Aetna (Capterra, March 2025).
What did renewals do for clients our size?ADP TotalSource reviewers reported increases of 8% and 18% (Capterra, more than a year old).
How is workers' comp priced?Get the rate per $100 of payroll by class code. A Capterra reviewer said admin fees were hidden in workers' comp rates.
Whose SUTA account do we report under? It varies by state; in Washington both the PEO and each client register. Ask which rate you pay.
What are the term, notice and exit fees?None of the PEOs we track publish full exit terms.
How do we get our data out?Ask how payroll history, W-2s and 941s are handed over, and for how long.

Compare the whole bill, not the admin fee

The admin fee is usually the smallest controllable line. In our PEO cost breakdown for 10 Texas employees on $60,000, Justworks PEO Plus fees are $14,880 a year, payroll taxes add $48,750 and health premiums $60,000 to $120,000 under our assumed scenarios, so the fee is 7.8% to 11.9% of the extra cost.

Deel US PEO

If you already have a health plan you like, compare against keeping it in PEO vs ASO and PEO vs a payroll service.

Red flags

  • Quote-only pricing with no written fee breakdown. An all-in number can hide the admin fee in premium or workers' comp lines; an October 2026 Trustpilot review describes ADP bundling fees that way.
  • Long lock-ins. Deel's promotional US PEO order forms require a two-year term, with the full price owed if you leave early.
  • Unclear exit fees. A Gusto guide says Paychex PEO requires notice by mail with proof of delivery, plus transition and early termination fees.
  • No certification you can verify, or a license claim with no license number.
  • A poor complaint record. TriNet's top recent Trustpilot theme is rejected FSA claims; Justworks reviewers describe support that answers but does not resolve. See our TriNet review, Justworks review, Insperity review and ADP TotalSource review.

Common mistakes when choosing a PEO

  • Treating CPEO status as a quality rating. The IRS criteria cover finances, integrity and tax compliance, not price or service.
  • Joining a non-certified PEO mid-year without written terms on the Social Security ($184,500 in 2026) and FUTA ($7,000) wage bases.
  • Ignoring the 401(k) exit. Reviewers describe missed employer contributions during 401(k) moves; see Justworks alternatives and TriNet alternatives.

Then check our PEO scores: Justworks 85, TriNet 76 and ADP TotalSource 74 out of 100, under our scoring method.

Frequently asked questions

How do I choose a PEO?

Check credentials first: the contracting entity should be on the IRS active CPEO list, hold any license your state requires, and appear in ESAC's finder if it claims accreditation. Then compare unbundled written quotes and exit terms. Published fees run $79 to $125 per employee per month (Justworks, Remote, Deel, checked October 16, 2026).

Is a certified PEO better than a non-certified PEO?

It is safer on federal payroll tax, not necessarily better on service. Under 26 USC 3511, a CPEO alone is treated as the employer for federal employment taxes on wages it pays, and wage bases carry over mid-year. With a non-certified PEO you generally stay liable.

What questions should I ask a PEO before signing?

Ask whether the fee is per employee or a percent of payroll, what it covers, which health plans your staff can join and what renewals did for clients your size. Also ask how workers' comp is priced, whose SUTA account you report under and what exit fees apply. None of the PEOs we track publish full exit terms.

How much should a PEO cost per employee?

Where prices are published, $79 to $125 per employee per month: Justworks $79 or $124, Remote from $99 and Deel $125 (checked October 16, 2026). ADP's guide puts the industry at about $40 to $160, or 2% to 12% of payroll, with premiums and taxes on top.

Does a PEO need a state license?

In some states, yes. Texas requires a TDLR license even for one Texas employee, Florida licenses PEOs as employee leasing companies, and Michigan requires a LARA license. Washington has no PEO license but requires the PEO and each client to register with its Employment Security Department.

What are the biggest PEO red flags?

A quote with no written fee breakdown, a multi-year lock-in with the full term owed on early exit, and exit fees nobody will put in writing. An entity you cannot find on the IRS CPEO list or your state's list is another. Deel's US PEO promotion, for example, requires a two-year minimum term.
